Terms of use

This is a translation of the Dutch terms of use. In the event of any difference between the two, the Dutch version is binding.
These terms apply to the use of the Fruitful platform and Keepr. The services are made available to users through their organisation (the Client), unless agreed otherwise. By using the services, the user agrees to these terms. If the user does not agree, use of the services must stop.
1. Definitions
Fruitful: Fruitful B.V., Luxemburgstraat 91, 1363 BK Almere, the Netherlands, Chamber of Commerce number 90010485.
Client: the legal entity that purchases Fruitful's services.
User: the natural person who uses the services through the Client.
Platform: the Fruitful web application, including its AI functionality, dashboards and associated services.
Keepr: Fruitful's AI team companion, used through the Client's own Slack workspace or Microsoft Teams organisation.
Services: the Platform and Keepr together.
Data: all data entered into, processed by or generated through the Services.
2. Applicability and contract structure
2.1 These terms apply to use by the Client and by the User.
2.2 In the event of conflict, a separate agreement between Fruitful and the Client prevails, including the data processing agreement for the processing of personal data.
2.3 The User uses the Services under the responsibility of the Client.
3. Use of the services
3.1 Fruitful grants a non-exclusive and non-transferable right to use the Services for the term of the agreement with the Client.
3.2 The Services may be used for legitimate business purposes only. Reverse engineering, scraping and misuse are prohibited.
3.3 The Services may not be used for unlawful purposes or to circumvent security.
4. Keepr
4.1 Installation. Keepr is installed in the Client's Slack workspace or Microsoft Teams organisation by an administrator of the Client. Keepr only answers once Fruitful has switched it on for that workspace or organisation.
4.2 What Keepr receives. Keepr only receives messages addressed to it: direct messages, and channel messages that mention Keepr. It does not read other channel conversations.
4.3 Slack and Microsoft Teams. The Client's use of Slack and Microsoft Teams is governed by the Client's own agreements with those providers. Fruitful is not responsible for their availability or their processing of data.
4.4 Appropriate use. Users are asked not to share special categories of personal data, such as health data, with Keepr, and not to share confidential information about colleagues that does not belong in a team context.
4.5 Conversation text. Keepr keeps the text of conversations for 7 days and then deletes it automatically.
5. Accounts and access management
5.1 The Client is responsible for managing and securing user accounts, including who has access to Keepr in its Slack workspace or Microsoft Teams organisation.
5.2 Fruitful may suspend access in the event of security risks, misuse or breach of contract.
6. Data and ownership
6.1 All Data entered by the Client and its Users remains the property of the Client.
6.2 Fruitful processes Data only to deliver the Services, as set out in the data processing agreement.
6.3 Fruitful may use anonymised and aggregated data for benchmarking and product development. Data cannot be traced back to the Client or to individuals.
6.4 Fruitful does not use the Client's Data, or Users' conversations with Keepr, to train AI models, and neither do its sub-processors.
7. AI and data analysis
7.1 The Services use AI for analysis, recommendations and Keepr's answers. The AI model, Claude by Anthropic, is used through Amazon Bedrock in AWS's EU regions.
7.2 The AI makes no autonomous decisions with legal or HR consequences. Its output, including Keepr's answers, is advisory.
7.3 AI output can be incomplete or incorrect. The Client and its Users are responsible for how they interpret and use it, and for any decisions that follow.
7.4 Keepr is designed only to help a team work with its own agreements and documents. It does not assess, rank or judge individual employees, does not evaluate anyone's performance or behaviour, and does not support decisions about an individual's employment. Requests of that kind are declined.
7.5 Keepr is clearly presented as an AI assistant, so Users always know they are interacting with AI and not with a person.
8. Security and compliance
8.1 Fruitful applies appropriate technical and organisational measures, in line with the GDPR and ISO 27001 principles, as described in the data processing agreement.
8.2 Data breaches are reported in accordance with the data processing agreement and the law.
9. Availability
9.1 Fruitful makes every effort to keep the Services available, but does not guarantee uninterrupted access.
9.2 Maintenance and updates may temporarily affect availability.
9.3 Keepr depends on Slack or Microsoft Teams being available. Fruitful is not responsible for interruptions on their side.
10. Liability
10.1 Fruitful's liability is limited to direct damage.
10.2 Liability is limited to the amount paid by the Client in the preceding 12 months.
10.3 Indirect damage, consequential damage and loss of Data are excluded, except in the case of intent or gross negligence.
11. Term and termination
11.1 The term is set out in the agreement between Fruitful and the Client.
11.2 On termination, access ends. The Client is given a reasonable period to export Data, after which Data is returned or deleted as set out in the data processing agreement.
11.3 After termination, the Client's administrator can remove Keepr from its Slack workspace or Microsoft Teams organisation. Keepr then stops receiving messages.
12. Audit and information
12.1 The Client may request information about Fruitful's compliance, within reasonable limits, including its security measures and data processing procedures.
12.2 Audits are carried out as set out in the data processing agreement.
13. Changes to these terms
Fruitful may update these terms, for example when the Services change. Material changes are announced to the Client in advance.
14. Governing law
14.1 Dutch law applies.
14.2 Disputes are submitted to the competent court in the district of Midden-Nederland.
